| Descrizione sintetica in italiano | The research is focused on the study of financial covenants and the attempt to realize a process of standardization, given the fact that, according to the Italian law, any atypical guarantees should be subject to a meritorious judgment, ex art. 1322, second paragraph, cod. civ. The study will analyze the remedies connected to the borrowers’ default, with particular mention of the re-payment and pre-payment clauses, withdrawal, termination and renegotiation of each single covenant and of the entire underlying contract. Because of the fact that covenants could be used by the lender as an instrument of hidden influence on the debtor, the study will explore vast aspects of directors’ responsibility. A relevant section of the research will be intended to study special operations such as leverage and management buy-out, project financing, intra-group financing contracts, and credit default swaps connected to the risk of default of the principal financing contract. |
